What this means in plain English

These terms are a legal agreement between you and Protocol. By using Protocol, you agree to these terms. The key points: Protocol is a wellness tool, not medical advice. Your data is handled as described in our Privacy Policy. We can update or discontinue the service. We are not responsible for the accuracy of data from your wearable devices. You can delete your account at any time.

1. Agreement to Terms

By accessing or using Protocol (the “Service”), available at stayonprotocol.com and through associated mobile applications, you (“you” or “User”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Service.

“Protocol,” “we,” “us,” and “our” refer to Protocol LLC, a limited liability company organized under the laws of the State of Michigan.

2. Eligibility

The Service is available only to individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Description of Service

Protocol is a personal health intelligence platform that aggregates health and fitness data from multiple sources, including wearable devices (such as Oura Ring and WHOOP), Apple HealthKit, and connected fitness applications. Protocol provides users with a unified dashboard, daily scorecards, trend analysis, body composition tracking, and an AI-powered coaching feature.

4. Account Registration and Security

4.1 Account Creation

To use Protocol, you must create an account using Google OAuth sign-in. You agree to provide accurate and current information and to keep your account credentials secure.

4.2 Account Responsibility

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately at privacy@stayonprotocol.com.

5. Connected Data Sources

5.1 Third-Party Integrations

Protocol connects to third-party services, including but not limited to Oura Ring, WHOOP, and Apple HealthKit, through their respective APIs. Your use of these third-party services is governed by their own terms of service and privacy policies. Protocol is not responsible for the availability, accuracy, or functionality of third-party services.

5.2 Authorization

By connecting a third-party data source, you authorize Protocol to access and retrieve your data from that source in accordance with the permissions you grant through the OAuth authorization process.

5.3 Disconnection

You may disconnect any third-party data source at any time through the app settings. Upon disconnection, Protocol will stop retrieving new data from that source and will delete the data obtained from that source in accordance with our Privacy Policy.

6. AI Coaching Feature

6.1 How It Works

Protocol includes an AI coaching feature powered by OpenAI's API. When you use this feature, your health data and conversation history are sent to OpenAI to generate personalized responses. OpenAI processes this data as a sub-processor on our behalf and does not use your data to train its models.

6.2 Limitations

AI coaching responses are generated by a machine learning model. They may be inaccurate, incomplete, or inappropriate in certain contexts. You should evaluate all AI coaching output using your own judgment. See Section 7 (Medical Disclaimer) for additional limitations.

7. Medical Disclaimer

Protocol is not a medical device. Protocol does not provide medical advice, diagnosis, or treatment. Protocol is not a substitute for professional medical care.

The information provided through Protocol, including AI coaching responses, daily scores, trend analyses, and product suggestions, is for general wellness and informational purposes only. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Always consult a qualified healthcare professional before making decisions about your health, fitness, nutrition, or supplementation. Do not disregard professional medical advice or delay seeking it because of information you received through Protocol.

If you are experiencing a medical emergency, call your local emergency number immediately.

8. In-App Product Suggestions

Protocol may display contextually relevant suggestions for health products, supplements, devices, or services based on your health data and usage patterns. These suggestions are generated internally by Protocol's systems. Your personal data is not shared with any third-party product or service provider in connection with these suggestions. Protocol may receive compensation in connection with products or services suggested within the app, and any such relationship will be disclosed at the point of suggestion.

9. Intellectual Property

9.1 Protocol's IP

The Service, including its design, features, content, and underlying technology, is owned by Protocol and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

9.2 Your Content

You retain ownership of any content you submit to Protocol (such as workout notes or manual entries). By submitting content, you grant Protocol a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely to provide and improve the Service.

9.3 Third-Party IP

Data and content from third-party services (including Oura and WHOOP) remain the intellectual property of their respective owners. Protocol's display of such data does not transfer any ownership rights to you.

10. Third-Party Service Provider Disclaimers

The Service integrates with and relies upon third-party services and platforms, including but not limited to Oura, WHOOP, Apple, and OpenAI. These third-party providers are not parties to these Terms.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL THIRD-PARTY SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIRD-PARTY SERVICE PROVIDERS ARE EXCLUDED FROM ALL LIABILITY FOR CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES ARISING FROM OR RELATED TO THE SERVICE.

11. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to harm, threaten, or harass any person
  • Redistribute, sell, or sublicense access to the Service
  • Use automated means (bots, scrapers) to access the Service without our written permission

12. Account Termination and Suspension

12.1 By You

You may delete your account at any time through the app or by contacting us at privacy@stayonprotocol.com. Upon deletion, we will process your data deletion request in accordance with our Privacy Policy (within 30 days).

12.2 By Protocol

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately.

12.3 Effect of Termination

Upon termination for any reason, we will revoke all connected OAuth tokens and delete your personal data in accordance with our Privacy Policy. Sections 7, 9, 10, 13, 14, 15, and 16 survive termination.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROTOCOL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing:

  • Protocol does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
  • Protocol does not warrant the accuracy, reliability, or completeness of any data obtained through the Service, including data from connected third-party devices and services.
  • Protocol is not responsible for the accuracy of data provided by Oura, WHOOP, Apple HealthKit, or any other connected data source. Data from these sources is provided by their respective platforms, and any errors or inaccuracies in that data are not the responsibility of Protocol.
  • AI coaching responses are generated by machine learning models and may contain errors. Protocol does not warrant the accuracy or appropriateness of AI coaching output.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROTOCOL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR ANY HEALTH-RELATED DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

PROTOCOL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PROTOCOL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS APPLY EVEN IF PROTOCOL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY SET FORTH IN THESE TERMS IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

15. Indemnification

You agree to indemnify, defend, and hold harmless Protocol, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit to the Service.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Oakland County, Michigan. You consent to the personal jurisdiction of such courts.

17. Data Breach Response

In the event of a security breach affecting your personal data, Protocol will:

  • Investigate the incident promptly
  • Notify affected users in accordance with applicable law, including within 72 hours where required
  • Notify applicable third-party API partners as required by our agreements with them
  • Take reasonable steps to mitigate harm and prevent recurrence

18. Changes to These Terms

We may modify these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email (to the address associated with your account) and through an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

19. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Protocol regarding the Service.

Severability. If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.

Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.

Force Majeure. Protocol is not liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, or pandemics.

Notices. We may send notices to you via email at the address associated with your account. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
